On April 20, 2019, new amendments of the Companies Act and the Court Registry Act foreseeing the possibility of on-line establishment of a Limited Liability Company (d.o.o.) and a Simple Limited Liability Company (j.d.o.o.) came into force. E-Establishment will be linked to the START system of the Ministry of Economy, Entrepreneurship and Crafts and will be available to citizens for use from 1 September 2019.
The amendments also lowered the amount of equity capital that needs to be paid before the founding of d.o.o. to 5.000,00 HRK; increased the maximum number of members establishing the j.d.o.o. from three to five; abolished the obligation to state business activity in the establishing act allowing a cheaper and faster “updating” of the activities the company is engaged in; abolished the obligation to deposit the signature; established electronic communication with the court register (notaries, lawyers, Croatian Chamber of Economy); abolished the name reservation provisions; and shortened the deadline in which the court must issue a decision on registration in the court register from 15 days to five working days if the application is complete and accurate.
